For the purposes of this document, the following terms shall have the following meanings:
INTRODUCTION
This document presents information on the tax strategy implemented in 2022 by Lesaffre Polska, prepared pursuant to Article 27c(1) of the Act of February 15, 1992, on corporate income tax (Journal of Laws of 2022, item 2587, i.e. of December 13, 2022, as amended; hereinafter: “CIT Act”). Lesaffre Polska, as a corporate income tax payer with a turnover exceeding EUR 50 million achieved in the financial (tax) year ended December 31, 2022, is required to prepare and publish information on its tax strategy for the financial (tax) year ended December 31, 2022. This information has been prepared by the Company in accordance with Article 27c(2) et seq. of the CIT Act.
LESAFFRE POLAND
Lesaffre Polska SA is a leading manufacturer of baker’s yeast, improvers, and additives for the baking and confectionery industries. The company is based in Wołczyn, where it has factories producing yeast, improvers, and baking additives. The company strategically focuses on the production of compressed, liquid, and dried yeast, as well as bread improvers. In addition, the company has also developed a wide range of baking and confectionery mixes. The company is part of the Lesaffre Group, which has over 170 years of experience in serving the baking industry and is a world leader in the production of yeast and yeast extract. The Group’s activity focuses mainly on the bakery market, where it has developed a wide range of products related to the fermentation industry: yeast, sourdough and derivatives, including additives and bread improvers.

Processes and procedures regarding the management of the performance of obligations arising from tax law regulations and ensuring their proper performance
The Company develops appropriate procedures as needed and operates according to relevant processes that condition the proper performance of obligations arising from tax law regulations. The procedures and processes in place at the Company take into account the nature of the Company, its organizational structure and the specifics of the industry in which the Company operates. The Company is part of the international Lesaffre Group and also applies the policies and procedures in force within the Group.
The Company applies the principles of conduct in tax matters based on the applicable tax law regulations and generally accepted practices. These principles are reflected in the documentation developed by the Company to support specific tax areas.
The way settlements are made in the Company is simple and uncomplicated. The main scope of activities undertaken by the Company includes production activities in the field of baking yeast and improvers for the confectionery and catering industry. Most of the generated revenue comes from the sale of products, goods and materials, while most of the generated costs of obtaining revenue result from operating activities – these are the costs of consumption of materials and energy as well as social security.
The Company’s tax strategy
The existing and functioning procedures in Lesaffre Polska fit into the general framework of ensuring high standards and due diligence in conducting business. The key issue from the perspective of the functioning of tax matters in the Company is the Tax Strategy developed by it.

The Company also has additional procedures in place to ensure the proper performance of the Company’s tax obligations, the principles of which are described in the Company’s documents such as the internal procedure for counteracting failure to provide information on tax schemes applicable in Lesaffre Polska S.A. Furthermore, the Company has guidelines covering good practices to ensure proper fulfillment of tax obligations (tax processes), such as the procedure for verifying transactions and counterparties from the perspective of withholding tax. The Company has principles in the area of internal control for purchases approved at the Lesaffre Group level, including the “Purchasing Policy” document and the “General Order and Purchase Procedure”, which define the detailed process of placing orders and purchasing materials. As part of these processes, Lesaffre Polska employees conduct detailed verification of the Company’s counterparties, including:
- verification of counterparties in terms of the VAT payer register;
- verification of bank account numbers made available by the National Tax Administration on the so-called “white list”.
Tax reporting and settlements
The company focuses on reliable reporting and compliance with regulations, including the timely submission of tax returns, forms, and information, as well as meeting tax payment deadlines. The company makes every effort to ensure that the information provided accurately reflects the actual state of affairs and is complete, up-to-date, and understandable.
Tax risk management
The company also has a risk management system that covers financial issues, including tax matters. The company takes steps to identify tax risks through appropriate internal controls and monitoring, and then eliminates or mitigates them. Risk levels are assessed based on the internal knowledge of Lesaffre Polska employees, with the support of external tax advisors.
Monitoring changes in tax law
The Company actively monitors tax law regulations in terms of planned and implemented changes in the law, as well as available and permissible tax reliefs and exemptions in order to use them in its current operations.
Organization of trainings
Responding to current changes in tax law, the Company conducts substantive training for its employees as needed. The Company’s employees also participate in mandatory substantive training organized by the Lesaffre Group.
Use of advisory and audit services
The Company uses the support of consulting and audit firms to verify the compliance of tax settlements with regulations. Selected elements of tax settlements indicated by the Company are consulted with external tax advisors.
Document archiving
The Company has an organized process of archiving documents, including those related to the tax settlements made, both in electronic and written form.
Voluntary forms of cooperation with the National Tax Administration authorities
In 2022, the Company did not use voluntary forms of cooperation with the National Tax Administration.
As part of its ongoing contact with the tax authorities, the Company aims for transparency and timeliness. However, the Company’s cooperation with the National Tax Administration authorities is not uniform and formalized. Ongoing contact with the authorities takes place through all available communication channels (by letter, email, telephone, ePUAP).
Information on the tax obligations fulfilled by the Company on the territory of the Republic of Poland

The Company fulfilled its tax obligations in a reliable and timely manner in all areas required by tax law regulations, taking into account the scope of the Company’s activities. In particular, this was the corporate income tax (CIT) and the value added tax (VAT).
Information on the number of tax scheme information submitted to the Head of the National Tax Administration, broken down by the taxes they concern
The Company fulfilled the obligation to submit the following information on tax schemes to the Head of the National Tax Administration:
- user information on the application of the tax scheme pursuant to Article 86j § 1 of the Tax Ordinance (MDR-3) in the scope of real estate tax.
Information on transactions with related entities
In 2022, the Company made the following transactions with related entities, the value of which exceeded 5% of the balance sheet total of assets within the meaning of the accounting regulations, determined on the basis of the Company’s last approved financial statements:
- transactions related to the sale of finished products;
- transactions related to the sale of trading goods;
- transactions related to liquidity management (cash pooling).
The above information on transactions is consistent with the data included in the transfer pricing information (TPR-C form) submitted by the Company for 2022. The Company has fulfilled its transfer pricing obligations in a timely manner, in particular it has transfer pricing documentation for 2022. In addition, the Company submitted transfer pricing information (TPR-C form) on time.
Information on restructuring actions planned or undertaken by the Company that may affect the amount of the Company’s or related entities’ tax liabilities
In 2022, the Company did not undertake or plan to undertake any restructuring actions that could affect the amount of the Company’s or related entities’ tax liabilities within the meaning of Article 11a(1)(4) of the CIT Act.
Information on the taxpayer’s tax settlements in territories or countries applying harmful tax competition
The Company did not make tax settlements in territories or countries applying harmful tax competition indicated in the implementing acts issued pursuant to Article 11j(2) of the CIT Act and pursuant to Article 23v(2) of the Act of July 26, 1991 on personal income tax, and in the announcement of the minister competent for public finance issued pursuant to Article 86a § 10 of the Tax Ordinance.
In particular, in the above-mentioned territories/countries, the Company in 2022:
- was not registered for tax settlement purposes;
- did not submit tax returns or forms
- did not collect and did not pay taxes.
Information on applications submitted by the Company
In 2022, the Company did not submit any applications for the issuance of: individual tax interpretation;
- general tax interpretation;
- binding excise information
